Definitions:
In these terms "we/us/our/Stephanie Coffman/Coffman
Ranch" means Stephanie Coffman and "you/client/customer"
means the individual or company requesting the services
of Stephanie Coffman
General
Stephanie Coffman will carry out work only for clients
who are 18 years of age or above.
Stephanie Coffman will carry out work only for the individual(s)
or company that has read, agreed with, and signed the
terms and conditions.
Limitations of Liability
While CoffmanRanch.com will endeavor to ensure that
any goods or services supplied will meet all legal requirements,
it is the customer's responsibility to ensure that pages
and images are not libelous and do not infringe copyright
or other intellectual property rights.
The customer hereby agrees to indemnify and hold CoffmanRanch.com
harmless from any legal actions, which results from
the content of customer pages.
The customer shall defend and pay all costs, damages,
awards, fees (including reasonable legal fees) and judgements
finally awarded against CoffmanRanch.com arising from
such claims and shall provide CoffmanRanch.com with
notice of such claims, full authority to defend, compromise
or settle such claims and reasonable assistance necessary
to defend such claims at the customer's sole expense.
By agreeing to have CoffmanRanch.com carry out a service
for the customer, the customer is fully agreeing to
the terms and conditions.
Payment
After a free quote has been completed by Stephanie Coffman
and accepted by the client, half of the quoted cost
must be paid upfront before work can begin. The rest
of the cost is to be made within 30 days of completion
of the web site. The completed project will not be released
to the public until full payment is received. A payment
will be considered late if it is postdated anytime after
the last required payment date (the 30th day after project
completion). For each week the payment is late, a 25%
additional charge on the current balance due will be
applied to your account. All maintenance and update
costs will be billed to the client on the 15th of each
month, with payment being due by the 15th of the following
month.
Delivery Times
When accepting an order for a web site, Stephanie Coffman
will provide the customer with an estimated delivery
date. Stephanie Coffman, nor anyone else involved in
the creating, producing or delivering of the web site
accepts no responsibility for loss of business, shall
not be responsible any direct, indirect, incidental,
special, or consequential damages arising out of late
delivery.
Acceptance
1. When Stephanie Coffman considers the design to be
completed to the requirements of the proposal, the site
will be uploaded to a test domain for you to preview
and you will receive notification by telephone or email.
2. You will have seven days from the notification to
carry out an appraisal of the design and inform us of
any changes required to correct any errors and comply
with the quotation.
3. Stephanie Coffman will carry out the agreed amendments
within seven days. You will then have a further seven
days to appraise the changes to the design and inform
us of any errors in the changes.
4. After this two to three week period, the design is
considered as accepted and you will be invoiced for
the outstanding costs and any further amendments are
chargeable. The web site will not be launched onto your
domain until the final payment has been received.
5. If no requests for changes are made during the first
week period, the site will be considered as accepted
and you will be invoiced for the outstanding costs and
any further amendments are chargeable.
6. Any further amendments other than those covered by
any maintenance agreement are then chargeable.
Domain Name Registration
and Renewal
1. We make no representation that the domain name you
wish to register is capable of being registered by or
for you or that it will be registered in your name.
You should therefore not assume registration of your
requested domain name(s) until you have been notified
that it has or they have been registered. Any action
taken by you before such notification is at your own
risk.
2. The registration and use of your domain name is subject
to the terms and conditions of use applied by the relevant
naming authority; you shall ensure that you are aware
of those terms and conditions and that you comply with
them. You shall have no right to bring any claim against
use in respect of refusal to register a domain name
or cancellation of the domain name by the relevant naming
authority. Any administration charge paid by you to
us for the domain name will be non-refundable.
3. We shall have no liability in respect of the use
by you of any domain name; any dispute between you and
any other person must be resolved between the parties
concerned in such dispute. If any such dispute arises,
we shall be entitled, at our discretion and without
giving any reason, to withhold, suspend, or cancel the
domain name. We shall also be entitled to make representations
to the relevant naming authority but will not be obliged
to take part in any such dispute.
4. We give no warranty or representation that your domain
name is or will continue to be available for your use
or that no domain name is or will be registered which
conflicts with your domain name or which otherwise affects
your use of your domain name.
5. Stephanie Coffman shall be entitled to withhold the
release of any domain name to another provider or "tag
holder" unless fully payment of all amounts due
to us at that time for whatever reason has been received
by us.
6. You may request a deletion of a domain name registered.
The request must be made within 7 days of the application
date for that domain name. There will be a standard
deletion charge of $10. Deletion requests after these
7 days will not be accepted.
Duration and Termination
1. Stephanie Coffman reserves the right to immediately
and permanently remove hosted web pages and/or images
on sites which Stephanie Coffman controls if it has
reason to believe the pages or images are illegal or
in breach of intellectual property laws. No reimbursement
will be made for pages or images that are removed. Replacement
of infringing pages or images by non-infringing pages
or images will incur further charges.
2. Stephanie Coffman reserves the right to immediately
temporarily suspend or permanently remove hosted web
pages and images, and to terminate any other service
provided, in the event that the customer is in arrears
with payments.
3. Stephanie Coffman reserves the right to claim a right
over any web space and/or domain names purchased on
behalf of the customer in respect of any customer debt.
4. Stephanie Coffman reserves the right to feature customer
web sites in future promotions without seeking prior
consent.
5. Stephanie Coffman reserves the right to place small
promotional text on each page of the customer's web
site.
6. All services are provided on an ongoing basis with
all payments due in advance of the release of the completed
service project. Cancellation of services may be made
by giving 60 days notice in writing.
General Disclaimer
Stephanie Coffman disclaims all warranties either expressed
or implied. In no event shall Stephanie Coffman be liable
for any damages whatsoever including direct, indirect,
incidental, consequential, loss of business profits
or special damages, even if Stephanie Coffman or third
party agents have been advised of the possibility of
such damages.
These terms and conditions are non-transferable.
These terms and conditions constitute the entire agreement
between the customer and Stephanie Coffman and shall
be interpreted under the laws of the United States of
America without reference to conflict of law principles.
If any term in this agreement is found to be invalid
or unenforceable, it shall be deleted from this agreement
and the remaining terms of the agreement shall continue
in full force and effect.
